EverZinc is looking for a
General Counsel Europe .
The General Counsel Europe will manage all legal matters within EverZinc for the relevant geographic areas, either directly or through external lawyers, in close collaboration with the local Management and the Group. He/she will be part of the global leadership.
Our client
EverZinc is a global provider of specialty zinc materials including fine zinc powders, zinc oxides, battery zinc powders and Zano, an ultra-fine zinc oxide. The company’s products are used in a wide variety of applications, including corrosion inhibiting paints, performance tires, pharmaceuticals, ceramics, glass, sunscreen, alkaline batteries, and other products.
With manufacturing operations located in the U.S.A, Belgium, Canada, China, the Netherlands, Norway, and Malaysia, EverZinc leads through its 14 production sites to serve its growing global customer base.
Description of the vacancy
As a General Counsel Europe, you will be responsible for the following tasks:
Corporate:
Drafting all the corporate documents (minutes of the various corporate bodies);
Taking care of the publications and required formalities of publicity;
Taking care of the corporate housekeeping in general;
Handling complex operations like mergers, reorganizations, carve-outs.
Contracting:
Reviewing and drafting contracts and agreements, including:
Sales contracts;
Procurement;
Any other type of contracts such as NDAs, Supply agreements, SLAs, tolling agreements, R&D agreements.
Litigation:
Managing the proceedings in accordance with the instructions of the Management and the Group;
Coordinating between the organization and its external lawyers.
Compliance:
Ensuring the respect of (including providing regular training):
the Mandatory Policies of the Group and its Code of conduct;
the applicable Competition laws and regulations;
the Data protection legislations.
Advising on real estate transactions and operations;
Coordinating with local notaries for the deeds to be passed;
Monitoring the portfolio of the Group;
Handling the necessary formalities.
Profile
Belgian Master Degree in Law. An additional degree is a plus.
Minimum 10 years of relevant work experience as in-house Counsel in an international industrial environment. Ideally, the candidate has worked in a private equity environment or in a matrix organization.
Fluency in English is a must. Fluency in French and a good knowledge of Dutch is required.

Offer
The role is offered on an 80% basis.
Remote working is possible to a very limited extent.
